Adopt/Adoptable - a character design for which ownership rights can be obtained. Such a design can be created by oneself or purchased from other people or artists.Moonrimuvi’s Terms of Service for Adoptables
Please read the Terms of Service carefully before buying a character design from Moonrimuvi (“The Artist”).This Terms of Service Agreement (“Agreement”) is entered into between the Artist and the Client regarding the Client's purchase of a character design (“Adopt/Adoptable”). By buying the Adopt from the Artist, the Client agrees to the following terms:1. payment, refunds, cancellation:
- The Artist accept PayPal (for USD $ transaction) and Monobank (for UAH ₴ transaction);
- All information for payment will be sent to the Client when the Artist is ready to allow purchasing;
- The Client must respond to the Artist regarding the Adopt within 24 hours and make full payment. If the Client is unable to do so, they must pay at least 25% of the full amount within 48 hours;
- The Client is given up to a week to pay in full for the Adopt;
- Payment plans may be made for any offers over $150. The Client must pay within 3 weeks of initial deposit. If full payment is not completed within 3 weeks and no communication is made to extend the deadline, the payment plan will be considered abandoned;
- If the Client does not meet the Artist's requirements, the Artist cancels the Adopt purchase and it will be made available for sale again (UFS);
- PayPal features are very limited in Ukraine. Currently only the "Friends and Family" payment option is available for PayPal and invoices are not available, that is why the Artist has to ask the Client to do their transfers themselves and in "Friends and Family" format;
- The Client warrants they will not issue chargebacks and the refund policy mentioned below will be followed;
- Refunds are not available for buying the Adopt. Even if the Client decides they do not want to pay for the Adopt even after making the deposit, the down payment cannot be refunded;
- The Artist reserves the right to decline to sell the Adopt to the Client for any reason. In case of any violations in the terms of service, the Artist has the right to ban the Client from any future purchases from them;
- If the Client blocking the Artist or being blocked by the Artist will result in an automatic blacklist;
- Blocked or blacklisted individuals are not allowed to obtain ownership rights for the Artist’s Adopts and must not block evade with an alternative account or via third party.2. product
- After full payment, the Artist will send the high resolution digital files of the Adopt (PNG/JPG/TIFF, etc.) to the Client through a Google Drive link or Email, whichever is preferred.3. auctions
- Potential clients can offer any price they think is right through DMs or in the TH (Toyhouse) comment section under the Adopt’s auction profile;
- The bid will automatically end after 24 hours of inactivity, and it will go to
the highest bidder. Bidding will end if the Adopt is auto-bought;
- The Client must respond to the Artist regarding the Adopt within 24 hours and make full payment. If the Client is unable to do so, they must pay at least 25% of the full amount within 48 hours. The Client is given up to a week to pay in full for the Adopt, if they didn’t choose any payment plan.4. rights & usage :
0. General main rule:
- By purchasing the Adopt, the Client is purchasing the rights to the character and the design, meaning they become the owner and hold ownership and redistribution rights. The Artist retains all rights to the artwork itself, meaning they remain the owner and hold ownership rights to the artwork. Also the Artist retains copyright, redistribution and intellectual property rights to the Adopt and the artwork.1. Artist Rights:
- The Artist retains copyright, redistribution and intellectual property rights, which includes but is not limited to display, advertising (as example) the Adopt and the artwork on websites, social media, portfolios, public broadcast channels (i.e. Twitch) and more. Ownership will only be credited upon request;
- The Artist may sell Adopts on various platforms using their username (@moonrimuvi); therefore, Adopts purchased by Clients from other platforms (i.e., not Toyhouse) are kept privately in an archive folder.2. Client Rights & Obligations:
- The Client receives exclusive, non-transferable usage rights to an Adopt for personal use;
- Personal use means: display on social media accounts for promotional purposes with no direct monetization such as profile pictures, banners, and posts; print and framing in personal spaces; display as part of designs on websites and channels, excluding use in content of these websites or channels;
- The Client must not claim the character design or artwork as their own and must credit the Artist using their social tag/username/link at the instance of display of the Adopt or permanently on their websites, social media profiles, broadcast channels and so on;
- The Client may resell, gift, trade or exchange the Adopt. The Client must not immediately resell, gift, trade or exchange the Adopt after the initial purchase (2 week cool down);
- The Client may resell the Adopt at equal or lesser price, unless additional paid commissioned art is added (an artwork (of the design) gained in trades or an artwork made by the Client does not count towards the designs worth);
- If the Adopt has the new owner, then the Client should notify the Artist about that if it is sold on Toyhouse or any other platform, so the Artist can change the records in their ownership logs;
- Reproducing/tracing/plagiarizing the Artist’s character designs or artworks is strictly prohibited;
- The Adopt is not allowed to be privated or hidden from the Artist by the Client. If the Client wants the Adopt to remain private, visible only to them and the Artist, they must inform the Artist of this beforehand;
- The Adopt, which was purchased by the Client, is strictly prohibited from being used for hate speech, racist propaganda, sexist propaganda, problematic content, content supporting or related to state sponsors of terrorism, fetish content, inappropriate ships, illegal or fraudulent purposes, etc. The Artist reserves the right to revoke ownership of any of their designs if the Artist finds out the Client has a public record of affiliating with any of the above topics;
- The Client must not delete any original design artwork created by the Artist;
- The Client must not edit or modify the artwork in any way without prior permission from the Artist;
- The Client must not delete the Adopt’s profile. Deletion will result in blacklist. If deleted, the Adopt may not be re-uploaded by other parties besides the Artist without proof of ownership (such as but not limited to recent/up to date character logs, communication history, and payment transfers that match up);
- Co-owning the Adopt is not permitted, as it goes against platform (Toyhouse) rules. The Artist will personally report any co-owned designs of their.3. Commercial use:
- Commercial rights means usage of the Adopt on streams or any monetized instances, or selling or reselling the Adopt to another party, as a part of any product, or on another platform;
- The Adopt that the Client purchase from the Artist is strictly prohibited from being used by the Client or any external party to generate profit or for personal purposes, in any form such as: merchandise goods; advertisements; AI (artificial intelligence) tools, platforms or programs; ML (machine learning) tools, platforms or programs; Al or ML training, NFTs (Non Fungible Token), crypto currency, etc;
- All types of commercial usage (merch, promotional material and streaming assets (Vtuber branding, Twitch, Youtube, Website, etc.)) must be specified and discussed beforehand;
- The prices for commercial purposes would be increased up to 100% or more;
- Commercial rights usage can be purchased for the Adopt starting from the claim message where the Adopt is bought. From there, it can be purchased whenever the Client pleases during their ownership of the design, until the end of their period of ownership, which is when the design is resold/traded to another person;
- When the new owner purchases the Adopt from the Client, they acquire only personal use rights. If the new owner wishes to obtain commercial rights, they must purchase them from the Artist;
- The agreed-upon commercial fee must be paid off in full before the design can be used for any type of commercial activity;
- In the case where the Client fails to pay for the commercial fees fully, refunds will not be issued. Depending on the situation, the Artist will decide whether commercial rights should be issued or not (partial or none).5. edits/alterations
- The Client may make minor changes to the design within reasonable limits, provided that it remains 75% recognizable;
- If the Client changes something in the character design, they must inform the Artist;
- The Adopt that the Client purchases from the Artist may not be aged down and must be kept above 18 years of age;
- The Adopt's history, gender interpretation, headcannons, etc. are up to the Client unless otherwise specified. Androgynous/genderless designs may be aligned to specific genders;
- The Client is not permitted to change the Adopt's race or remove the prosthetics or specified disability included in the design;
- The Client is strictly prohibited from assigning the Adopt a nationality or affiliation with countries that support terrorism or are classified as state sponsors of terrorism (Iran, North Korea, Russia, Israel, etc);
- The Client may not turn the Artist’s designs into a closed or open species. This includes either redesigning or creating an alternate version to join a pre-existing species, or creating a new species based on the design.6. communication:
- Communication channels may include email ([email protected]), or Instagram DM (@moonrimuvi), according to the Artist discretion;
- The Artist response time may vary, up to one week in order to provide the Client with better or more concrete answers.7. confidentiality:
- The Artist and the Client acknowledges that information and materials that are provided to either party (including but not limited to personal information, technical information, marketing plans, payment information, or sensitive business information), or are incorporated into the deliverables, that will not be visible to the public shall be considered confidential information and shall not be disclosed to any other party without prior written permission from the owner of this confidential information.8. indemnification:
- The Client indemnifies the Artist against claims, losses, damages, and expenses related to the Adopt usage by the Client, breach by the Client of the Agreement, or third-party claims;
- If the Client's rights are violated or the Adopt is not delivered as agreed, the Artist will work to remedy the situation first.This policy can be updated or changed at any time by the Artist.
